Refund Policy
ASSUMPTION OF RISK, RELEASE OF LIABILITY, COVENANT NOT TO SUE, AND INDEMNITY AGREEMENT
PLEASE READ CAREFULLY. THIS DOCUMENT AFFECTS YOUR LEGAL RIGHTS. IT INCLUDES A RELEASE OF CLAIMS AGAINST THE PROTECTED PARTIES FOR ORDINARY NEGLIGENCE TO THE FULLEST EXTENT PERMITTED BY LAW.
This Liability Waiver (“Waiver”) is made by the undersigned attendee (“Participant”) in favor of Say Less Productions d/b/a Say Less and the other Protected Parties.
For purposes of this Waiver, “Protected Parties” means Host, Say Less, all Event organizers, promoters, co-hosts, sponsors, the Venue, the Venue owner, operator, manager, landlord, and property manager, and each of their respective parents, subsidiaries, affiliates, members, managers, officers, directors, employees, agents, contractors, volunteers, security personnel, bartenders, vendors, performers, DJs, successors, and assigns.
1. 21+ Certification
Participant certifies that Participant is at least 21 years old and is legally competent to sign this Waiver.
2. Acknowledgment of Risks
Participant understands that attendance at an after-hours social event involves risks, including known and unknown, inherent and non-inherent risks, including without limitation:
crowding, lines, pushing, jostling, or accidental contact with other attendees;
slips, trips, and falls;
wet floors, uneven surfaces, curbs, stairs, railings, platforms, furniture, décor, or temporary installations;
loud music, bass vibration, lighting effects, strobe effects, fog/smoke effects, darkness, and reduced visibility;
acts, omissions, misconduct, negligence, intoxication, impairment, or criminal conduct of other attendees or third parties;
security screening, crowd-control measures, ejection procedures, and emergency response;
food or beverage reactions, including allergic reactions;
parking-lot, sidewalk, ingress/egress, transportation, rideshare, and vehicle-related incidents;
communicable illness exposure; and
serious bodily injury, emotional distress, property damage, disability, or death.
Participant further understands that after-hours events may involve alcohol service, impaired patrons, dim lighting, dancing, amplified sound, and fast-changing crowd conditions.
3. Assumption of Risk
Participant knowingly, voluntarily, and expressly assumes all risks of attending, entering, remaining at, or participating in the Event, whether such risks are known or unknown, foreseeable or unforeseeable, and whether arising from the condition of the premises, Event operations, acts of other attendees or third parties, or the ordinary negligence of any Protected Party, to the fullest extent permitted by law.
4. Release of Liability
To the fullest extent permitted by law, Participant, on behalf of Participant and Participant’s heirs, estate, family members, personal representatives, successors, and assigns, hereby releases, waives, and forever discharges the Protected Parties from any and all claims, demands, causes of action, liabilities, damages, losses, costs, and expenses of any kind, whether in law or equity, arising out of or related to:
Participant’s presence at, travel to, travel from, entry into, or participation in the Event;
the premises, conditions, activities, operations, crowd management, or security measures at or relating to the Event; or
any injury, illness, death, emotional distress, or property damage suffered by Participant,
including claims based on the ordinary negligence of any Protected Party.
This release is intended to include, by way of example, claims alleging ordinary negligence in premises conditions, Event setup, Event operations, crowd flow, entry screening, or security response.
5. Exclusions
This Waiver does not release any claim based on:
gross negligence;
willful or wanton misconduct;
intentional misconduct; or
any liability that cannot lawfully be waived under applicable law.
6. Covenant Not to Sue
Participant agrees not to file, maintain, or assist in any lawsuit, claim, arbitration, or other proceeding against any Protected Party for any claim released by this Waiver.
7. Indemnity
Participant agrees to defend, indemnify, and hold harmless the Protected Parties from and against any and all third-party claims, actions, liabilities, damages, fines, penalties, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:
Participant’s acts or omissions;
Participant’s intoxication or impairment;
Participant’s violation of Event rules or law;
injury or damage caused by Participant to any person or property; or
any claim brought by Participant’s guest, invitee, or anyone acting through Participant.
This indemnity obligation does not apply to the extent a claim is finally determined to have been caused by a Protected Party’s gross negligence or willful misconduct.
8. Medical Care Authorization
If Participant becomes ill, injured, or otherwise requires assistance, Participant authorizes Host, Venue, and their agents to summon medical care, transportation, or emergency services for Participant in their discretion. Participant understands that the Protected Parties are under no duty to provide medical care and that any such care or transport is at Participant’s sole cost and risk.
9. Personal Property
Participant understands that the Protected Parties are not insurers of Participant’s personal property. To the fullest extent permitted by law, Participant assumes all risk of loss, theft, or damage to Participant’s personal belongings.
10. Third-Party Beneficiaries
The Protected Parties are intended third-party beneficiaries of this Waiver and may enforce it directly.
11. Governing Law; Severability
This Waiver shall be governed by Colorado law. If any provision is held invalid or unenforceable, the remaining provisions shall remain enforceable to the fullest extent permitted by law.
12. Acknowledgment
Participant acknowledges and agrees that:
Participant has read this Waiver carefully;
Participant understands its contents;
Participant understands that Participant is giving up substantial legal rights, including the right to sue for claims based on ordinary negligence to the fullest extent permitted by law;
Participant signs this Waiver voluntarily and without coercion; and
Participant has had the opportunity to ask questions and seek independent legal advice before signing.
MEMBERSHIP AND EVENT TERMS AND CONDITIONS
These Terms and Conditions (“Terms”) govern membership in Say Less and the purchase, reservation, RSVP, access to, and attendance at events produced, hosted, promoted, or administered by Say Less Productions (“Host”).
For purposes of these Terms, “Protected Parties” means Host, Say Less, the Event organizers, promoters, co-hosts, sponsors, the Venue, the Venue owner, operator, manager, landlord, and property manager, and each of their respective parents, subsidiaries, affiliates, members, managers, officers, directors, employees, agents, contractors, volunteers, security personnel, bartenders, vendors, performers, DJs, successors, and assigns.
1. Acceptance of Terms
By applying for membership, accepting an invitation, submitting an RSVP, purchasing or reserving admission, accessing Host’s website or event platform, or attending any Event, you agree to these Terms, the applicable Event Agreement, and the applicable Liability Waiver.
2. Membership Structure
Membership in Say Less is:
free unless Host expressly states otherwise;
limited to persons 21 years of age or older;
personal, non-transferable, and revocable;
subject to approval, suspension, denial, or revocation by Host for any lawful reason; and
not a guarantee of invitations, tickets, access, or future attendance.
Host may require identity verification, age verification, contact information, and compliance with membership rules as a condition of membership or Event access.
3. Members-Only Access
Events are limited to active members and any guests specifically authorized by Host. A guest invitation, if allowed, may be withdrawn at any time. Host may impose guest limits, waitlists, door times, dress codes, check-in deadlines, or no-reentry policies.
4. Reservations, Tickets, and Transfers
Any RSVP, reservation, ticket, wristband, confirmation, or guest-list placement:
is personal to the member;
may not be sold, transferred, assigned, or used by another person without Host’s express written consent;
may be revoked for suspected fraud, scalping, duplicate use, chargeback abuse, policy violations, or safety/security reasons; and
remains subject to venue capacity and operational limits.
5. Pricing, Payments, Taxes, and Refunds
If an Event is paid:
all prices are subject to change until confirmed;
taxes, service fees, gratuities, and processing fees may apply;

if an Event is postponed or rescheduled, Host may honor the original purchase for the new date, offer credit, or offer another remedy stated in the Event-specific policy.
If a member is denied entry or removed for cause, no refund is required except as otherwise required by law or expressly stated by Host.
6. Event Changes; Cancellation
Host may change the date, venue, start time, entertainment lineup, event format, staffing, floor plan, security procedures, or access rules at any time. Host may also cancel, postpone, interrupt, or terminate an Event due to safety, compliance, force majeure, low attendance, venue issues, acts of God, weather, utility failure, labor disruption, government action, public health concerns, or any other reason beyond or within Host’s reasonable control.
7. Venue Rules and Compliance
Members must comply with:
all posted Event and Venue rules;
all directions from Host, Venue management, bartenders, and security;
all age-verification and screening requirements; and
all applicable laws and regulations.
Violation may result in denial of membership, denial of entry, removal, permanent ban, referral to law enforcement, and/or civil recovery for damage.
8. Prohibited Conduct
Prohibited conduct includes, without limitation:
harassment, discrimination, threats, assault, stalking, or unwanted touching;
disorderly or unsafe intoxication;
possession of illegal drugs or prohibited items;
unauthorized entry into restricted areas;
property damage, theft, vandalism, or graffiti;
recording, streaming, or commercial photography without authorization;
impersonation, false identity, false age claims, or use of another person’s membership or ticket;
violating neighborhood, building, or venue rules.
9. Alcohol and Substance Policy
Alcohol, if any, will be offered only as lawfully permitted. Host and the Venue may refuse service to anyone at any time. Members are responsible for their own conduct, sobriety, and transportation. No illegal drugs are permitted. [OPTIONAL: “No cannabis or cannabis consumption is permitted unless expressly authorized by Host and the Venue and permitted by law.”]
10. Member Content; Brand Rights
All trademarks, names, logos, graphics, event names, content, and branding belonging to Host or Say Less remain Host’s exclusive property or that of its licensors. No member may use Host’s branding for commercial purposes, advertising, ticket resale, third-party promotion, or merchandise without written consent.
11. Privacy and Event Records
Host may maintain records reasonably related to membership and events, including contact information, reservation history, age-verification status, incident reports, security footage, and Event media. If Host publishes a separate privacy policy, that policy is incorporated by reference.
12. Disclaimer
Except as expressly stated by Host in writing, Events are provided “as is” and “as available.” Host does not guarantee any particular performer, attendee demographic, atmosphere, service level, menu item, seating arrangement, parking availability, or uninterrupted Event experience.
13. Limitation of Liability
To the fullest extent permitted by law, and except for claims governed by the separate Liability Waiver or for liability that cannot lawfully be limited, Host’s aggregate liability arising from membership administration, ticketing, reservations, cancellation, rescheduling, or website/platform use shall not exceed the amount actually paid by the member to Host for the specific Event giving rise to the claim.
14. Member Indemnity
Member agrees to defend, indemnify, and hold harmless the Protected Parties from any claim, loss, damage, liability, fine, penalty, cost, or expense (including reasonable attorneys’ fees) arising out of or related to the member’s acts, omissions, rule violations, intoxication, guest conduct, fraud, or damage to property or persons.
15. Third-Party Beneficiaries
The Protected Parties are express intended third-party beneficiaries of these Terms and may enforce them directly.
16. Governing Law; Venue
These Terms are governed by Colorado law. Any dispute shall be brought exclusively in the state courts located in the City and County of Denver, Colorado, or the federal court serving Denver, Colorado, if applicable.
17. Electronic Acceptance
Host may require acceptance of these Terms, the Event Agreement, and/or the Liability Waiver by click-through, e-signature, email confirmation, check-in tablet, or other electronic means. Electronic acceptance shall have the same force and effect as a handwritten signature.
18. Updates to Terms
Host may update these Terms from time to time. Updated Terms may apply prospectively to future memberships, reservations, and Events upon posting or notice.
19. Entire Agreement; Order of Precedence
These Terms, together with the applicable Event Agreement and Liability Waiver, form the entire agreement between Host and the member regarding the subject matter. If there is a conflict:
the Liability Waiver controls for injury/risk-allocation matters;
the Event Agreement controls for event-specific issues;
these Terms control for general membership, ticketing, and platform rules.
